Members’ voluntary liquidation is the principal process for the return of capital to the shareholders of a solvent company. Since the company in question will have been profitable, planning ahead for the tax consequences is key; specifically the timing of the winding up resolution and any distribution.
Given too that HMRC has just announced the removal of tax clearance in MVLs, it is important that we understand the consequences of that decision in relation to our solvent winding ups.
